5.1 Board Seat
Founder Vote

Founder appointed to Gulf-entity Board for full Term, with full voting rights matching the 20% holding.

5.2 Exit / Sale Pari-Passu
20% On Sale

Founder receives 20% of valuation or proceeds on sale, equity round, or third-party investment — same basis as 80% holding.

5.3 Anti-Dilution
Pro-Rata

Standard pro-rata anti-dilution on every new share issuance unless waived in writing.

5.4 Dividends
80/20 Split

Distributed 80/20 after operating costs, taxes, statutory reserves and Royalty are settled.

5.5 Ownership Trigger
51% Floor

If Aziz Saif drops below 51%, Founder may renegotiate on 90-day notice. Family trusts & SPVs carved out.

13.9 Buy-Back On Exit
FMV Settlement

On termination, 20% settled by buy-back at fair market value, retention, or written settlement at Founder's election.

  • Insurance, legal, government affairs in Territory
  • Pre-approved third-party fees: gateway, SMS, app-store
  • VAT invoicing, collection, reporting & remittance
  • Royalty payments within 15 days of month-end
§10.6 No Reimbursement Clause ECJ-UAE has no obligation to reimburse ECJ-US for software development or programmer fees, even on termination — except for specifically pre-approved written third-party pass-through items.

IP, Software & Data

3.1 Right To Use
Exclusive Gulf Licence

Exclusive, non-transferable, non-sublicensable licence to platform, AI engine, apps, website, brand & trade dress for Gulf operations.

3.3 IP Reservation
Founder Owns All

All technology, source code, AI models, trademarks, patents, derivative works — including UAE-specific code — remain sole property of Founder.

3.4 No Sub-Licensing
Written Consent Only

Cannot sub-license, assign, sell, reverse-engineer or commercially exploit the software outside Gulf entities without written consent.

10.3 Mutual Enhancement
Joint Approval

Material enhancements, regional adaptations & new modules require mutual written agreement on scope, priority & timeline.

11.3 Domain Names
www.eatcookjoy-uae.com

www.eatcookjoy-uae.com & eatcookjoy-gcc.om registered to Gulf entity but revert to Founder on termination.

11.4 Data Protection
UAE PDPL Stack

ECJ-UAE = Data Controller. ECJ-US = Data Processor. UAE PDPL & GCC frameworks apply. DPA may be appended.

§9.1 Right of Audit

13.8 Non-Compete
24 Months

24 months post-termination on competing food-marketplace in UAE. Void if Founder terminates for convenience, breaches SLA, becomes insolvent, or discontinues platform.

13.10 Effect of Termination
Wind-Down Licence

All unpaid Royalties due. Confidentiality survives. If termination not caused by Licensee — perpetual royalty-free in-territory licence retained for wind-down only.

13.11 Transition Assistance
60-Day Handover

Up to 60 days from Founder for orderly handover, data export & customer-service continuity (third-party costs at cost).

12.1 Mutual Indemnity
Each Party Owns Its Acts

Each party indemnifies the other for its own acts, omissions, gross negligence or wilful misconduct. ECJ-US specifically indemnifies ECJ-UAE against IP infringement claims.

12.2 Liability Cap
12 Months Royalty

Aggregate liability capped at 12 months of Royalty paid or payable preceding the claim — except IP infringement, wilful misconduct & gross negligence.

7.1 Corporate Tax
15% Annual

Gulf entity pays 15% corporate tax annually on applicable taxable income per relevant Gulf jurisdiction law.

7.3 Withholding
Treaty-Based

Withholding tax on Royalty handled per applicable double-taxation treaty. W-8BEN-E or equivalent forms cooperated upon.
